1. NATURE OF THE SERVICE — EDUCATIONAL SOFTWARE

Bear is Fair (hereinafter "the Platform", "we", "us", or "our") is an educational software platform that provides analytical tools, algorithmically generated signals, market data visualisations, indicators, and related digital content strictly for educational and informational purposes. The Platform is a software service classified as digital content within the meaning of the EU Digital Content Directive (2019/770). All signals and indicators are outputs of automated software algorithms derived from academic and statistical research applied to publicly available market data. No human being reviews, endorses, or personalises any signal before it is displayed. Nothing on this Platform constitutes, or shall be construed as constituting, financial advice, investment advice, tax advice, legal advice, or a personal recommendation or solicitation to buy, sell, hold, or otherwise transact in any financial instrument or investment product.

2. SOFTWARE SERVICE — NO FIDUCIARY RELATIONSHIP

The Platform is a software tool, comparable to a calculator or data visualisation application. Your use of the Platform does not create any fiduciary, advisory, or professional relationship between you and the Platform, its operators, affiliates, employees, or contributors. We are a software provider, not a broker, dealer, financial advisor, or investment manager. The Platform does not require registration with any financial regulatory authority because it provides automated software outputs, not personalised financial advice. The Platform is not registered with the Danish Financial Supervisory Authority (Finanstilsynet), the European Securities and Markets Authority (ESMA), the U.S. Securities and Exchange Commission (SEC), or the Financial Conduct Authority (FCA), as its activities fall outside the scope of regulated financial services.

No representation is made that any account will or is likely to achieve profits or losses similar to those shown. Hypothetical or simulated performance results have inherent limitations. Unlike actual trading records, simulated results do not represent real trading. Because trades are not actually executed, results may have under- or over-compensated for the impact of certain market factors, such as liquidity, slippage, and commissions.

5. SIGNALS AND INDICATORS — SOFTWARE OUTPUTS

Trading signals, indicators, and analytical outputs displayed on the Platform are generated entirely by automated software algorithms that apply academically derived statistical models to publicly available market data. These outputs are the product of software computation — equivalent to the output of a spreadsheet formula or statistical calculator. They represent mathematical calculations and pattern recognition, not human judgement, opinion, or trading recommendations. No person at Bear is Fair selects, reviews, approves, or personalises any signal before or after it is generated. The Platform does not guarantee the accuracy, completeness, timeliness, or reliability of any software output. Signals may be delayed, incorrect, or unsuitable for your circumstances. The software is provided "as is" under the terms of the EU Digital Content Directive (2019/770). You bear sole responsibility for any decision you make using the Platform's software outputs.

6. YOUR SOLE RESPONSIBILITY

You acknowledge and agree that:

• All trading and investment decisions are made solely by you, at your own risk, and based on your own independent assessment;
• You are solely responsible for determining whether any trade, strategy, or financial instrument is appropriate for you based on your personal financial situation, risk tolerance, and investment objectives;
• You will conduct your own due diligence and, where appropriate, seek independent professional financial advice before making any trading or investment decisions;
• You will comply with all applicable laws and regulations in your jurisdiction regarding trading, taxation, and financial reporting.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, including but not limited to the laws of the Kingdom of Denmark and the European Union:

• You acknowledge that the Platform provides general educational content and market observations, and that you have not relied on any representation by the Platform in making your trading or investment decisions;
• The Platform, its operators, directors, officers, employees, agents, affiliates, and contributors (collectively, the "Released Parties") shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform, including but not limited to trading or investment losses;
• The total aggregate liability of the Released Parties to you for all claims shall not exceed the amount you have paid to the Platform in the twelve (12) months immediately preceding the event giving rise to the claim;
• Nothing in these terms excludes or limits the Platform's liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; (c) gross negligence or wilful misconduct; or (d) any other liability that cannot be excluded or limited under applicable mandatory law, including Danish consumer protection law (Aftaleloven section 36) and EU Directive 93/13/EEC.

8. ACKNOWLEDGEMENT OF RISK AND SOFTWARE NATURE

You expressly acknowledge and agree that:

• The Platform is an educational software service that provides automated algorithmic outputs derived from academic statistical research — it is not a financial advisory service, broker, or investment manager;
• All signals are generated by software algorithms without human intervention or personalisation — no person at Bear is Fair has recommended, suggested, or advised you to make any specific trade or investment;
• Any trading or investment decisions you make are entirely your own, based on your own independent analysis, judgement, and risk assessment;
• Software outputs may contain errors, and past algorithmic performance does not predict future results;
• Financial losses arising from trading are inherent risks of market participation and are not caused by, or attributable to, the Platform's software outputs;
• You are encouraged to seek independent professional financial advice before acting on any information obtained through the Platform.

9. GOVERNING LAW AND JURISDICTION

This Disclaimer and Waiver shall be governed by and construed in accordance with the laws of the Kingdom of Denmark, without regard to its conflict of law provisions. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark. Nothing in this clause limits your statutory rights as a consumer under mandatory EU consumer protection law.

10. SEVERABILITY

If any provision of this Disclaimer and Waiver is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
